End User License Agreement

Subject to a valid, active license issued through Licensor's miKey licensing service (licensing.mitechsc.com) and payment of the applicable subscription, Licensor grants Licensee a non-exclusive, non-transferable license to install and use one production instance of RV Tech Pro for Licensee's internal business operations, with up to the number of user seats included in the license tier.

• Activation: the software validates its license key against the miKey service at licensing.mitechsc.com at installation and periodically thereafter (approximately hourly).
• One live install: a license key binds to one running installation. Activating a second installation with the same key is refused while the first is alive; a replaced installation (for example a redeploy) re-claims its own binding automatically.
• Seats: the number of active user accounts may not exceed the licensed seat count. The software enforces this limit.
• Outages: if the licensing service is unreachable, an activated installation continues working for a 72-hour grace window. After the window, staff sign-ins pause (administrator access remains) until contact resumes.
• Revocation / expiry: if the license is revoked, expires, or the subscription lapses, staff sign-ins pause immediately; administrator access remains so the license can be corrected. No business data is deleted by a license change.
• Obtaining a license: licenses, renewals, and tier upgrades are available from MiTech Solutions at mitechsc.com.

• No copying the software for use beyond the licensed instance, and no sublicensing, renting, or providing it as a service to third parties.
• No reverse engineering, decompiling, or circumventing the license validation, seat enforcement, or any other technical protection.
• No removal of Licensor attribution or license notices from the software.

All business data entered into the installation (customers, jobs, quotes, invoices, uploads) belongs to Licensee. Licensor claims no rights to it and has no access to it; the software runs on infrastructure Licensee controls.

License validation transmits to the miKey service only: the license key, a random installation identifier, the host name, the software version, and the count of active user seats. No customer or business records are transmitted.

Software updates and support are provided per the terms of the active subscription tier. Licensor may require a supported version for continued license validation. Schema upgrades are applied automatically by the software at startup.

This agreement runs while a valid license is active and terminates automatically if the license is revoked for breach of this agreement. On termination Licensee must stop using the software; Licensee's data remains in Licensee's database and may be exported before or after termination.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSEE IS RESPONSIBLE FOR ITS OWN BACKUPS AND FOR VERIFYING OUTPUTS (INCLUDING INVOICES AND TAX AMOUNTS) BEFORE RELYING ON THEM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE LICENSE FEES PAID FOR THE TWELVE MONTHS PRECEDING THE CLAIM, AND LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

This agreement is the entire agreement regarding the software and supersedes prior discussions. If a provision is unenforceable, the remainder stands. This agreement is governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Questions: mitechsc.com.
